Anthropic IPO: Losses, dividends & risks to humanity; what investors should know

26 Oct 2026, 08:12 PM 4 min read

Anthropic’s planned stock market debut captures a central AI contradiction: surging demand and huge losses, alongside warnings that its technology could threaten humanity. The Claude maker plans to list on Nasdaq as ANT, but has yet to set the number of shares or their price range. The filing offers a closer look at what investors would be buying.Founded in 2021 by former OpenAI employees, Anthropic reported $16.3 billion in revenue in the first half of 2026 alongside a net loss of $80.7 billion.

Revenue growth has been rapid, largely driven by business customers using Claude and related AI software. It expects losses to continue as it invests in computing, research, safety and expansion. Remaining competitive, it says, depends on advanced models, specialist staff and capital. The disclosures go beyond finances. They confirm there are no near-term dividends, describe a share structure that gives a founder-linked vehicle decisive voting power, and detail risks ranging from regulatory scrutiny to advanced AI moving beyond human control. Here are five key takeaways.Dividends: No payouts in sightAnthropic has never declared or paid cash dividends and does not expect to do so in the foreseeable future.

It plans to retain available funds and future earnings for operations and expansion. Any dividend would be at the board’s discretion, based on its financial condition and capital needs. Its credit agreement also limits payouts, even if no money is outstanding under the facility.Voting rights: A founder-linked structureAnthropic has four authorised classes of common stock, with Class A and Class N as series of Participating Common Stock.

Their voting rights differ. Class A shareholders get one vote per share on general matters. Class N generally carries no voting rights; Class T, issued to the LTBT, votes only on specified matters. Class E, intended for employees other than co-founders, also lacks general voting rights, subject to protections.Class F, to be issued to Founder LLC, carries votes equal to 50.1% of total voting power on general shareholder matters, including elections of directors other than Class T directors.

Votes will be cast under the Founder LLC agreement, potentially limiting ordinary shareholders’ influence after listing.Losses: An $80.7 billion half-year hitAnthropic’s net loss rose from $1.5 billion in 2023 to $8.3 billion in 2024 and $42 billion in 2025. In the six months to 30 June 2026, it lost $80.7 billion, compared with nearly $13 billion a year earlier. The figure needs context: $72.4 billion of the first-half loss came from changes in the fair value of convertible promissory notes, derivative liabilities and SAFEs, primarily as the value of outstanding notes rose alongside Anthropic’s valuation.

The net loss is not a simple measure of cash spent on operations. Even so, the company says it is highly capital-intensive, expects costs and losses to continue, and may never achieve or sustain profitability.Risks to humanity: The warning in the filingThe filing says advanced AI systems could “pose catastrophic or existential risks to humanity” without safeguards, oversight and security.

Misuse, replication, weaponisation or substantial autonomy could heighten those dangers. Even isolated or simulated harmful behaviour, it says, could trigger public concern, regulatory scrutiny, litigation and reputational damage, regardless of actual harm.Anthropic also describes “closing the loop”: using successive models to design, train, test and optimise the next generation.

But flaws or biases could spread into later systems and become harder to detect or fix. AI research could outpace the ability to evaluate and safeguard new models, a concern alongside chief executive Dario Amodei’s calls for more cautious development. The company warns that the danger could grow as AI systems automate more of the research and development process itself. What the founders get: A potentially historic paydayThe offering could sharply increase the paper wealth of Anthropic’s seven founders, including chief executive Dario Amodei and his sister, co-founder Daniela.

Reports say the founders collectively hold nearly 500 million shares, but their post-IPO ownership and any planned sales are unclear. The final valuation, offer price and size of the sale remain undecided, making any windfall uncertain. But Class F stock could preserve substantial founder-linked control as public investors buy in.You use AI every day. Now get your AI Quotient. Take the AIQ test.
